Terms of Service

These Terms of Service govern the provision of web design, website hosting, and related digital services by System Setter to its clients. System Setter is operated as a sole trader by Diarmuid Byrne, Athboy, Co. Meath, Ireland.
By engaging System Setter for any service, whether by paying a deposit, signing a proposal, or confirming instructions in writing (including by email), you agree to be bound by these terms. Please read them carefully before proceeding.
1. Scope of Services
System Setter provides the following services:
Website Design and Development
Custom website design and development, typically comprising 5 to 10 pages depending on the scope agreed. Built using Astro (static output), Tailwind CSS, and deployed to Cloudflare Pages unless an alternative deployment target is agreed in writing.
On-Page SEO
Implementation of on-page SEO foundations including title tags, meta descriptions, heading structure, schema markup (JSON-LD), canonical URLs, and sitemap generation. System Setter does not guarantee specific search engine rankings, as these are determined by search engine algorithms beyond our control.
AI Search Optimisation
Structured content optimisation to improve the likelihood of the client's business being recommended by AI-powered search tools including ChatGPT, Perplexity, and Google AI Overviews. This is a best-efforts service: System Setter makes no guarantee of specific outcomes from AI tools.
Website Hosting
Monthly hosting of client websites on Cloudflare Pages, including SSL certificate, security monitoring, and monthly backup. Subject to the hosting terms in Section 6.
Related Services
Any additional services agreed in writing between System Setter and the client, including Google Business Profile setup, domain management assistance, or copywriting.
The specific scope of work for each project is confirmed in writing (typically by email) before the deposit is paid. Any work outside the agreed scope is subject to a separate quote and written agreement.
2. Payment Terms
Deposit: €100
A non-refundable deposit of €100 is required before work begins on any website project. Payment of the deposit constitutes acceptance of these Terms of Service and confirms the agreed project scope. Work will not commence until the deposit is received.
Balance on handover: €400
The remaining balance of €400 is due on completion of the website and prior to the live deployment of the website to the client's domain. The website will not be made live until the balance is received in full. Payment is due within 7 days of the handover invoice being issued.
Hosting: from €29 per month
Monthly hosting is billed in advance on a recurring basis. The first hosting payment is due on or before the go-live date. Failure to pay hosting fees within 14 days of the due date may result in suspension of the hosting service. Full hosting terms are set out in Section 6.
All prices are quoted inclusive of VAT where applicable. System Setter reserves the right to charge statutory interest on overdue amounts under the Late Payment of Commercial Debts Act (as applied in Ireland).
If a project is abandoned by the client after the deposit is paid and work has commenced, the deposit is non-refundable. If the project has progressed significantly beyond the deposit stage, System Setter reserves the right to invoice for work completed to date at an hourly rate of €75 per hour.
3. Project Timeline
System Setter aims to deliver completed websites within 7 to 10 working days from receipt of the deposit and all required client materials (including content, images, branding assets, and access credentials). This timeline is an estimate and may be affected by:
- Delays in providing required content or materials by the client.
- Significant scope changes requested by the client after work commences.
- Delays in client feedback or approval during revision rounds.
- Technical factors outside System Setter's reasonable control.
System Setter is not liable for losses arising from delays that are outside our reasonable control or that result from the client's failure to provide required materials in a timely manner.
4. Revision Policy
Every website project includes two rounds of revisions at no additional cost. A revision round is defined as a consolidated list of changes submitted by the client in a single communication after reviewing a design or development preview.
A revision covers reasonable adjustments to the agreed design: changes to text, colours, layout adjustments, image swaps, and minor structural changes. The following are not included in the revision allowance and are subject to separate quotation:
- Fundamental redesign of the website concept or layout after initial designs have been approved.
- Addition of new pages, features, or functionality not included in the original scope.
- Requests that constitute a change of brief rather than refinement of the agreed design.
- Copy rewriting beyond minor text corrections.
Additional revision rounds beyond the two included are available at €75 per hour, billed in 30-minute increments. Any additional work will be quoted in advance and must be agreed in writing before proceeding.
5. Client Responsibilities
The client is responsible for:
- Providing all required content (text, images, logos, branding assets) in a timely manner and in a suitable format.
- Ensuring that all content provided to System Setter is owned by the client or that the client has the right to use it, and that it does not infringe any third-party intellectual property rights.
- Providing accurate and complete information about the business, services, and any requirements specific to the website.
- Reviewing design previews and providing consolidated, clear feedback within a reasonable time. System Setter reserves the right to invoice for time spent on extended periods of client inactivity.
- Ensuring that the website content complies with all applicable laws, including advertising standards, consumer protection law, and sector-specific regulations.
- Maintaining the security of any access credentials (domain registrar, hosting login) provided to the client on project completion.
6. Hosting Terms
Service
Hosting includes deployment and maintenance of the client's website on Cloudflare Pages, SSL certificate provision and renewal, security monitoring, and monthly backup of the website files. Email support is available during normal business hours.
Payment
Hosting is billed monthly in advance. The hosting fee is subject to review annually. System Setter will give a minimum of 30 days' written notice of any price change.
Uptime
System Setter will use reasonable efforts to maintain website availability but does not guarantee 100% uptime. Scheduled maintenance and events outside our reasonable control (including infrastructure issues with Cloudflare) may cause temporary unavailability. System Setter is not liable for losses arising from downtime beyond our reasonable control.
Cancellation
Either party may cancel the hosting service by giving 30 days' written notice. On cancellation, System Setter will provide the client with a full copy of the website files. No refund is given for the current month's hosting fee on cancellation.
Non-payment
If a hosting invoice remains unpaid for more than 14 days past the due date, System Setter reserves the right to suspend the hosting service without further notice. Restoration of service following suspension is subject to payment of all outstanding amounts plus a €50 reactivation fee.
7. Intellectual Property
On receipt of payment in full for the website build, System Setter assigns to the client full ownership of the custom design and code created specifically for their project. The client is free to use, modify, and transfer the website files as they see fit.
The following are not included in this assignment:
- Third-party libraries, frameworks, fonts, or plugins used in the build, which remain subject to their respective open-source or commercial licences.
- Stock images or licensed assets sourced by System Setter, which are licensed for use in the specific website only unless separately agreed.
- System Setter's underlying tools, methodologies, and reusable components, which we retain the right to use for other clients.
System Setter reserves the right to display the completed website in its own portfolio and case studies unless the client requests otherwise in writing.
8. Limitation of Liability
To the fullest extent permitted by applicable Irish law, System Setter's total liability to the client for any claim arising from or related to these terms or the services provided shall not exceed the total amount paid by the client to System Setter in the three months preceding the event giving rise to the claim.
System Setter is not liable for:
- Indirect, consequential, or special losses, including loss of profit, loss of business, or loss of anticipated savings.
- Losses arising from the client's failure to fulfil their responsibilities under Section 5.
- The content, accuracy, or legality of materials provided by the client and incorporated into the website.
- Changes in search engine algorithms or AI tool behaviour that affect the ranking or visibility of the client's website.
- Third-party service outages, including Cloudflare, Google, or Meta platform issues.
- Security incidents arising from weaknesses in third-party platforms or from the client's own security practices after handover.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed in the course of the engagement that is identified as confidential or that would reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Governing Law and Disputes
These Terms of Service are governed by the laws of the Republic of Ireland. Any dispute arising from or in connection with these terms or the services provided shall be subject to the exclusive jurisdiction of the Irish courts.
In the event of a dispute, both parties agree to attempt to resolve the matter informally in the first instance by direct communication before initiating formal proceedings.
11. Changes to These Terms
System Setter reserves the right to update these Terms of Service at any time. The current version will always be published at systemsetter.com/terms-of-service with an updated date. Changes take effect immediately upon publication for new engagements. Existing clients will be notified of material changes by email. Continued use of our services after notification of changes constitutes acceptance of the updated terms.
